Section 1.1: Name
The name of this organization shall be called "The Minot CHARACTER COUNTS! Coalition."
 
Section 1.2: Purpose
The purpose of the Coalition is to provide leadership in promoting character education throughout the community, as well as supporting organizations and individuals who believe that character counts.

Section 2.1: Eligibility
Membership is open to all without regard to race, color, religions, age, sex or national origin, who personally embrace the principle that character counts. Membership is dependent upon approval by a simple majority of the Coalition at a regularly scheduled board meeting. Anyone interested in membership needs to be sponsored by a current Coalition member in good standing. Ongoing goal of membership is to provide diverse representation of the Minot community.
 
Section 2.2: Rights and Privileges of Membership
Members have the right to attend all general Coalition meetings, receive general publications & mailings/emails, to be a candidate for an office and participate in all Coalition activities.
 
Section 2.3: Categories of Membership
Categories of membership shall include but not be limited to the following: Business, Schools, Civic Groups, Government, Faith Communities, Youth Groups, Parent/Family /Daycare, and Sports.
 
Section 2.4: General Powers
The Coalition shall have supervision, control and direction over the affairs of the Coalition, shall determine its policies or changes therein within the limits of the By-laws, shall actively prosecute its purposes and shall have discretion in the conduct of business and formulation of the rules and procedures of the Coalition, consistent with these By-laws.
 
Section 2.5: Number and Terms of Office
There shall be not less than twenty (20) members of the Coalition and no more than thirty-five (35). The numbers of coalition members shall be set from time to time (by vote of coalition members). Effort will be taken to provide diverse community representation on the Coalition. Term of office will be three (3) years with option of additional terms.
 
Section 2.6: Board Member Attendance
If a coalition member is absent from 4 consecutive scheduled meetings, unless excused, his or her position shall become vacant for the remainder of the term. Meeting minutes should note any excused absence(s).
 
Section 2.7: Recommendation of Coalition members/Filling of Vacancies
Recommendations for additional Coalition members may be submitted by present Coalition members to the Coalition Coordinators with emphasis on maintaining diverse community representation. Any Coalition member may resign at any time by giving written notice to Coalition Coordinators. Vacancies will be filled by recommendations from Coalition Members.
 
Section 2.8: Nomination and Election of Coordinators/Term of Office
Coalition Coordinators shall be selected by Executive Board. Term of office will be three (3) years with option of additional terms. Co-coordinators (2) strongly encouraged.
 
Section 2.9: Frequency of Meetings
There shall be no less than (6) regular Coalition meetings in each calendar year with a goal of monthly meetings the first Friday of each month.
 
Section 2.10: Compensation
Coalition Members shall serve without compensation except when prior authorization has been obtained. This compensation would be allowed when board members are performing official functions of the Coalition beyond those normally required by attending meetings.

 Section 3.1: Officers
The officers of the Coalition shall be Co-coordinators (2), Secretary, Treasurer and immediate past Co-coordinators.
 
Section 3.2: Election & Term of Office
The officers of the Coalition shall be elected by the Coalition and serve the remainder of their Coalition term.
 
Section 3.3: Authority and Duties of Officers
 
Section 3.3.1 Co-coordinators
The Co-coordinators shall preside at Coalition meetings, ensure meeting locations & times, and promote the Coalition's vision and mission.
 
Section 3.3.2 Secretary
The Secretary shall keep minutes of Coalition meetings and attendance records.
 
Section 3.3.3 Treasurer
The Treasurer shall maintain a complete and accurate account of all funds received and disbursed, including grant monies.
 
Section 3.4: Executive Board
The Co-coordinators, Secretary, and Treasurer, and past Coordinators shall comprise the Executive Board, meeting as needed with decision-making authority on Coalition issues. Every effort shall be made to gather input from the majority of the Coalition membership before decisions are made. Decisions shall be made with the best interests of positive character education in mind.
